Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between you ("You" or "Participant") and Circana LLC, 900 West Shore Road, Port Washington, NY 11050 USA ("We" or "Sponsor") in relation to the SnapMyEats Program (the "Program") as further described in these Terms.

Agreement To These Terms. Each time You access and/or use the Program, You agree to be bound by and comply with these Terms. Please read these Terms carefully before You participate. If You do not agree to these Terms, please do not participate in the Program. Please also read carefully the SnapMyEats Privacy Notice applicable to the Program.
Change To Terms. The Sponsor reserves the right to make changes to the Terms at any time. Any changes to the Terms will be made by posting the updated Terms on the SnapMyEats mobile application (the "App"), as indicated by a new "Last Updated" date for the Terms. You accept changes by using the Program after We post the changes or, if applicable, by confirming acceptance of the updated Terms. You are responsible for checking the App for any updated Terms. Your use or continued use of the Program after any changes to the Terms are posted in the App and/or in a notification to You will indicate your agreement to such changes.
Eligibility. The Program is only offered to legal residents of the United Kingdom, 16 years of age and older, who have a valid and active email address, have downloaded to a smartphone the App from the App Store or Google Play Store and completed the Program registration ( "Participants"). Employees of the Sponsor, ConfirmIt ("Administrator") Virtual Incentives ("Reward Administrator") and their respective related companies, parents, subsidiaries, affiliates, and agents and advertising or promotion agencies or members of the immediate family or household of each ("Program Entities") are not eligible to participate in the Program. For purposes of clarification, "immediate family" means parents, children, siblings and spouse, regardless of where they reside.

How the Program Works
Program Period. The Program is offered between 12:00 am 01 January 2020 Greenwich Meantime ("GMT") and 11:59 pm GMT 31 December 2020 ("Program Period"), unless otherwise extended or terminated, as provided herein in Sponsor's sole and absolute discretion. The Program consists of monthly participation periods, each beginning at or about 12:00 am GMT or British Summertime ("BST") (as applicable) on the first day of the applicable calendar month and ending at 11:59 pm GMT or BST (as applicable) on the last day of the same calendar month ("Monthly Period"). All time referenced herein is GMT or BST (as applicable) and the server clock of the Administrator shall be the official time-keeping device for all times applicable to the Program.
Program Requirements. You must download the App, affirmatively opt-in to participate in the Program and complete a registration survey. During each Monthly Period, to earn Credits that can be redeemed for gift cards in the online rewards store, You must submit Valid Receipts of your food and/or beverage purchases and answer a few short questions in connection with each Valid Receipt. Messaging and data rates apply to internet access via mobile devices. Other charges may apply; check your mobile plan for rates/details.
Participation. A registered Participant must access the SnapMyEats Receipt Survey within the App to participate. Once in the Receipt Survey, Participants take digital pictures of receipts of their food and/or beverage purchases and answer a few short questions in connection with each receipt/purchase, then submit their responses during a Monthly Period during the Program Period. Each receipt may only be submitted one time and by one Participant. If something other than a Valid Receipt is submitted, or the receipt is deemed to be invalid for any reason, you will not receive credit for that submission.
Valid Receipt. A Valid Receipt is defined as a receipt that contains the following:
1. at least one food and/or beverage item(s) purchased (to the extent itemized on the receipt), and price(s);
2. the total cost of all items purchased;
3. the name of the brick-and-mortar food/beverage retailer or restaurant located in the United Kingdom where the food or beverages were purchased; and
4. dated on or within seven (7) days of submitting it in the App.
Reward.
1. For every five (5) Valid Receipts submitted during a Monthly Period, You will receive one credit ("Credit"). Once You accumulate a minimum of ten (10) Credits, You can exchange your Credits for Rewards (see definition below). Each Credit can be exchanged for the equivalent of £1 worth of Rewards. However, Credits have no cash value and cannot be exchanged for cash. Participants can earn a maximum of five (5) Credits during each Monthly Period. Once You accumulate a minimum of ten (10) Credits, please select the "Redeem" button, which appears on the first page of the App Receipt Survey, and You will receive a reward link via email directing You to our Rewards Site. On the Reward Site, You will be able to exchange your Credits for rewards of commensurate value ("Reward"). All Rewards on the Reward Site are subject to availability and will be made available on a first-come, first-served basis. The Reward Site may be updated from time to time as supplies of certain Rewards are exhausted and other Rewards are added. Any Valid Receipts remaining at the end of a Monthly Period will NOT carry over into a subsequent Monthly Period and will be void. Please do not submit a receipt for alcohol beverage purchase(s) unless You have reached the legal drinking age in your applicable U.K. jurisdiction. Rewards, and the issuance thereof, and any other related information are subject to eligibility, receipt verification and compliance with these Terms.
  
  Reward Structure
2. Participant will maintain their Credits earned as long as they remain an active Participant by submitting at least one Valid Receipt every 60 days. As long as the Participant is active and in good standing, Credits do not expire. Sponsor reserves the right to terminate a Participant in our sole discretion if a Member has not submitted a Valid Receipt for 60 days.
3. All elements relating to this Program, including but not limited to, verification of Participants, participation, eligibility, compliance with the Terms, all submitted receipts, survey answers, materials and any other information or submissions reported or relating to or in connection with the Program, a Reward, or any element thereof in whole or in part ("Submission Materials") are subject to Sponsor’s final review, determination, investigation and approval. Sponsor and Administrator are not responsible for Submission Materials that are unreported, lost, late, damaged, altered, destroyed, forged, tampered with, mutilated, incomprehensible, misdirected, undelivered, illegible, incompatible, incomplete, inaccurate, stolen or otherwise not in compliance with these Terms. The Sponsor accepts no responsibility for receipts not successfully submitted due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure, and will not accept proof of transmission.
4. Submission Materials that are in Sponsor's reasonable opinion, in whole or in part, suspected of being, or are found to be duplicate, fraudulent, incomplete, ineligible, non-compliant or otherwise invalid will be void and not eligible towards a Credit. Sponsor reserves the right to terminate any Participant from the Program, in our sole discretion, if the Participant is in violation of any of the Terms including without limitation submitting Submission Materials multiple times, with multiple identities, or email addresses; using any other device or artifice to obtain or redeem a Reward multiple times and/or to participate in the Program; fraud or any misrepresentation of fact or other improper conduct as determined by us. Upon termination by Sponsor, the Credits within the Participant's account will be immediately forfeited and the account will be closed. Sponsor has the right, in its sole discretion, to disqualify Participant from future participation in the Program or similar Sponsor programs.
General Conditions.
1. Sponsor reserves the right to modify, terminate or cancel the Program, or any element thereof at any time prior to the commencement of each Monthly Period without prior notice or liability, or at any time without prior notice or liability due to reasons beyond Sponsor's reasonable control, and reserves the absolute right to interpret the Terms. Any extension, modification or termination of the Program will be communicated on the App via a notification and posting updated Terms which will be applicable to the Program and your participation in the Program from that time forward, as applicable.
2. Participants acknowledge that by participating in the Program they will be submitting personal information to the Sponsor which is required in order to provide the Participant with their Reward. The Sponsor will process the personal information submitted in accordance with the Privacy Notice.
3. If for any reason the Program, or any element thereof, is impaired, not capable of running as planned due to reasons beyond the Sponsor's reasonable control, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, cheating, bots/scripts, mechanical or other artifice, emergency maintenance, equipment failure, technical failures, a force majeure event, or any other causes similar or dissimilar which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Program, or any element thereof (as determined by Sponsor in its sole and absolute discretion), Sponsor reserves the right at its sole discretion to investigate the matter and where necessary rescind any/all Rewards which have been fraudulently obtained, to modify the Program or any element thereof in a manner that best conforms to the spirit of these Terms without suspending it, suspend the Program or any element thereof to address the impairment and then resume in a manner that best conforms to the spirit of these Terms, or cancel, terminate, modify or suspend the Program, or any part thereof. Without limitation, if any suspected attempt, directly or indirectly, by any individual, entity or Participant to use or benefit from the use of mechanical artifice, robotic, repetitive, automatic, bots/scripts, programmed or similar participation or other methods or agents occurs, then Sponsor may, in its sole discretion, immediately remove the Participant from the Program, and invalidate and rescind Rewards of such individual(s) suspected of engaging in or benefiting from such methods, and the subject Participant will be disqualified from the Program permanently, require immediate refund or forfeiture of any Reward paid and/or accrued during the Program Period and Sponsor reserves the right to pursue legal proceedings against such Participant. Further, if Sponsor suspects that any Participant, participation, information or Submission Materials submitted by or on behalf of any Participant is or is suspected of being duplicate, false, inaccurate, fraudulent, tampered with, or otherwise invalid, then Sponsor may, in its sole discretion, take same or similar measures as referenced above. Submitting false claims for Program Rewards may subject the Participant to civil liability or criminal prosecution.
Taxes. Participant acknowledges s/he are solely responsible for payment of all applicable taxes and compliance with reporting requirements in her/his jurisdiction to HM Revenue and Customs (HMRC), if necessary; Sponsor assumes no liability or responsibility therefor. Sponsor will comply with applicable reporting requirements of HMRC, as required by law.
Limitations of Liability.
1. Nothing in these Terms excludes or limits the Sponsor's liability for death or personal injury arising from the Sponsor's negligence, or its fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
2. The material displayed on the App is provided without any guarantees, conditions or warranties as to its accuracy. You must bear the risks associated with the use of the App, and the internet.
3. To the fullest extent permitted by law, the Sponsor (including its officers, directors and employees) and other Program Entities (including any agents or sub-contractors) connected to it hereby expressly exclude:
  1. all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity in it provision of the use of the App; and
  2. any liability arising under or in connection with:
    1. use of, or inability to use, the App;
    2. use of or reliance on any content displayed on the App;
    3. incompatibility of the App with any of your electronic and/or mobile equipment, devices, software or telecommunications links; and
    4. unsuitability, unreliability or inaccuracy of the App.
4. If We fail to comply with these Terms, We are responsible for loss or damage You suffer that is a foreseeable result of our with You or our failing to use reasonable care and skill, but We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or, if at the time these terms were accepted, both We and You knew it might happen. We only provide access to the App for domestic and private use. You agree not to use the App for any commercial, business or re-sale purposes and We have no liability to You for any loss of profit or revenue, loss of business, business interruption or loss of business opportunity.
5. The Sponsor will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your electronic and/or mobile equipment, computer programs, data or other proprietary material due to your use of the App or to your downloading of any content on it, or on any website linked to it.
6. Subject to this Section 10, the Sponsor’s total liability to You in connection with the Program and these Terms, however arising whether caused by tort (including negligence), breach of contract or otherwise, shall be limited to £50.
Waiver. A waiver by Sponsor of any provision in these Terms does not constitute a waiver of any other provision. If any provision is adjudged to be invalid it shall be struck from these Terms and the remainder of the Terms shall remain in full force and effect.
Force Majeure. Neither Sponsor, Administrator nor the Reward Administrator shall be liable to any Participant or any other person or entity for a breach of these Terms, failure to execute the Program or any part thereof, or supply a Reward in whole or in part, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid); technical failure; human error, equipment failure, terrorist acts, cyber-attacks, earthquake, war, fire, flood, explosion, unusually severe weather, embargo, lockout, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any similar or dissimilar event beyond their reasonable control.

Arbitration/Applicable Law and Venue. These Terms, and any non-contractual obligations arising out of them, are governed and construed in accordance with the law of England and Wales and any proceedings resulting out of these Terms and any non-contractual obligations arising out of them, the Privacy Notice and/or the use of the App shall be held in the Courts of England and Wales.

2024 CIRCANA SNAPMYEATS PROMOTION (UK) - OFFICIAL RULES

VALID AND ACTIVE EMAIL ADDRESS AND FREE SNAPMYEATS MOBILE APPLICATION ("APP") DOWNLOADED TO AN IOS OR ANDROID MOBILE DEVICE ARE REQUIRED IN ORDER TO PARTICIPATE IN THIS PROMOTION.

OVERVIEW: The 2024 Circana "SnapMyEats Promotion" ("Promotion") is a game of chance promotion offered in conjunction with and only to active, eligible participants in the SnapMyEats Program in England, Scotland and Wales (the "Program"). The Terms and Conditions (https://www.snapmyeats.uk/terms) of the Program ("Program Terms") and the Privacy Policy (https://www.snapmyeats.uk/privacy) are incorporated herein by reference. All capitalized terms not defined herein will have the meaning set out in the Program Terms. These are the Official Rules that govern the relationship between Entrants (defined below) and Sponsor in respect of this Promotion.

ARBITRATION NOTICE: BY ENTERING, YOU AGREE THAT DISPUTES BETWEEN YOU AND ANY PROMOTION ENTITY WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION. SEE DISPUTES/ARBITRATION PROVISION.

ELIGIBILITY: The Promotion is only open and offered to legal residents of England, Scotland and Wales ("Great Britain") who are at least 16 years of age or older, and who are active, eligible participants of the SnapMyEats Program in Great Britain and have affirmatively opted-in to the Promotion ("Entrants"). All Entrants must have a valid and active email address, downloaded the App on a smartphone and accept the Program Terms. Those who are under the legal age of majority in their jurisdiction of residence may be required to execute additional documentation by and on behalf of their minor child.

Employees, officers, directors of Circana, LLC ("Sponsor"), ConfirmIt, Inc. ("App Administrator"), Don Jagoda Associates, Inc ("Administrator"), their respective subsidiaries and affiliated companies, agents, advertising/promotion agencies, individuals engaged in the development, production, or distribution of materials for, or implementation of the Promotion (collectively referred to herein as the "Promotion Entities"), and the immediate family members (spouse, siblings, children and parents including foster and step-relations) or those living in their same household (whether or not related) as any person in any of the preceding categories are not eligible to enter or win a prize. Void outside England, Scotland, Wales and where prohibited or restricted by law.

By entering the Promotion, Entrants fully and unconditionally agree to and accept these Official Rules, the information provided on the SnapMyEats App, and the decisions of the Sponsor and Administrator (and their authorized representatives) which are final and binding with respect to all matters pertaining to the Promotion and all elements thereof.

PROMOTION PERIOD/MONTHLY ENTRY PERIODS: The Promotion begins at 12:00 a.m. Greenwich Meantime ("GMT") on January 1, 2024 and ends at 11:59 p.m. GMT on December 31, 2024, unless otherwise extended or terminated as stated herein in Sponsor's sole and absolute discretion (the "Promotion Period"). The Promotion consists of twelve (12) independent, monthly Entry Periods (each an "Entry Period"). Each Entry Period begins at 12:00 a.m. GMT or British Summertime ("BST") (as applicable) on the first day of the applicable calendar month and ends at 11:59 pm GMT or BST (as applicable) on the last day of the same calendar month during the Promotion Period. The clock on the App Administrator's server shall be the official time keeping device for this Promotion.

REGISTRATION/HOW TO ENTER: Program participation requires Entrant to agree to be bound to these Official Rules, the Program Terms and Privacy Policy, and to provide their valid email address.

Program participants that have opted in to enter this Promotion and submit valid Receipts (“Receipts”) during a monthly Entry Period as part of the SnapMyEats Program will receive one (1) Entry (“Entry” or “Entries”) for each valid Receipt submitted per Entry Period.

Incomplete, ineligible, or non-compliant Receipts and/or Entries are void. Entries become the property of Sponsor and will not be returned. Entrants may not enter through a sweepstakes club (or similar method whether or not paid), with multiple identities, any substitute or participant proxy, devices, accounts, registrations, e-mail addresses, IP addresses, and/or phone numbers, nor shall Entrants use any other device or artifice to enter or participate. Entries may only be submitted by a single registered user; group or commercial submissions are not permissible. Any suspected use of artifice, cheating, fraud, on-line clubs (or similar methods), exchange sites, robotic, automatic, macro, script, programmed or like methods as determined in Sponsor or Administrator's absolute discretion, will void all such Entries by such methods, and disqualify any Entrant suspected of using/benefitting from such methods. Without limiting the foregoing, Sponsor has the right to verify Entrants’ eligibility and compliance with these Official Rules and/or the Program Terms and, on the basis of its investigation, to disqualify any Entry/Entrant at any time during or after the Promotion Period, and will require immediate prize return in-full if applicable. Promotion Entities assume no responsibility for lost, late, incomplete, inaccurate, illegible, delayed, destroyed, damaged, not received, undelivered, or misdirected Receipts and/or Entries (in whole or in part). Entries must be compliant, participation by Entrants only via the method communicated herein, and received by Sponsor within the time stated to be eligible for the applicable drawing. Entries submitted via any other Entry method will not be accepted.

Entrant's participation in the Program is via a mobile device, therefore message and data rates may apply. Entrant should consult his/her wireless service provider regarding its pricing plans. Participation may not be available on all mobile devices.

RANDOM DRAWINGS/ODDS: Administrator will conduct a separate random drawing on or about seven (7) business days following the end of each Entry Period to select that month's prize winners ("Winners") from among all eligible Entries received for that Entry Period. Odds of winning depend on the number of eligible Entries received for each applicable drawing during the applicable Entry Period. Winners will be notified by phone, mail, and/or email (in Sponsor's sole discretion) on or about seven (7) business days after the drawing.

If an Entrant is or becomes noncompliant or ineligible during or after an Entry Period or the Promotion Period, or if a Winner fails to respond within the time specified, or cannot be reached within two (2) separate attempts using the contact information (in Sponsor's discretion) provided at registration, that prize will be forfeited in its entirety and an alternate winner may be selected for the applicable prize. In the event no eligible Entries are received within a particular Entry Period, that prize will NOT be awarded. Prize or prize notifications that are declined, unclaimed, returned, unresponsive, untimely, undeliverable, misdirected (including into spam or junk folders), unredeemed or otherwise, will be forfeited and will not be capable of being redeemed.

PRIZES/APPROXIMATE RETAIL VALUE ("ARV"): Assuming sufficient eligible Entries are received, the following prizes are available to be awarded, subject to verification and compliance of winners.

Five (5) Prizes per Entry Period: One hundred (100) SnapMyEats Program credits ("Credits"). Credits can be redeemed by selecting the "Redeem" button, which appears on the first page of the App Receipt Survey. You will receive a reward link via email directing you to our Rewards Site. On the Reward Site, you will be able to exchange your Credits for rewards of commensurate value ("Reward"). Each Credit has an approximate equivalent value of £1 (one pound sterling), but Credits may not be exchanged or redeemed for cash. All Rewards on the Reward Site are subject to availability and will be made available on a first-come, first-served basis. The Reward Site may be updated from time to time as supplies of certain Rewards are exhausted and other Rewards are added.

Limit one (1) prize per person, per Entry Period. All prizes are subject to compliance, verification of eligibility and receipt of all documentation from the Winner necessary to process payment. All details and other restrictions of prizes not specified in these Official Rules will be determined by Sponsor (and issuer, as applicable) in their absolute discretion. Prize must be accepted as a whole. Prizes cannot be assigned, transferred, or substituted, in whole or in part, except by Sponsor who may, at its sole discretion, substitute a prize or any element thereof, with a different prize of equal or greater value. Any and all applicable taxes and all expenses not specifically stated herein are solely the responsibility of a Winner. Winners are advised to seek independent counsel regarding tax implications of their prize winning. Only the description and number of prizes stated in these Official Rules is available to be won during the Promotion. In no event is the Sponsor responsible for awarding more prizes or prizes in greater amount than the number of prizes or amounts stated herein.

SWEEPSTAKES WINNER NOTIFICATION/VERIFICATION: Potential winners will be notified by e-mail within five (5) business days of drawing date. Potential winners, or the winner's parent or legal guardian if winner is a minor, may be required to sign and return a Declaration of Eligibility, Release of Liability/Prize Acceptance Form and a Publicity Release (except where prohibited by law) or an Address Confirmation/Eligibility Verification Form via email within seven (7) days of notification attempt or an alternate potential winner will be selected. If any notification or prize is returned as undeliverable, the prize will be forfeited and awarded to an alternate potential winner. Should a potential winner or any other winner decide to decline the prize for any reason whatsoever, Sponsor shall have no further obligation to that potential winner, and an alternate potential winner will be selected. After three (e) unsuccessful attempts to contact an alternate, the Sponsor is not liable to fulfill the prize. Allow six (6) – eight (8) weeks for prize delivery. Acceptance of prize constitutes winner's agreement and permission for Sponsor to use winner's name and likeness for advertising and trade purposes in any and all media without further notice or compensation, unless prohibited by law.

LIMITATIONS OF LIABILITY: BY PARTICIPATING, ENTRANTS AGREE TO THE FULLEST EXTENT PERMITTED BY LAW TO RELEASE, FOREVER DISCHARGE AND HOLD HARMLESS THE SPONSOR, ADMINISTRATOR, OTHER PROMOTION ENTITIES, AND THEIR PARENT, AFFILIATED AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTION AGENCIES, AND THEIR RESPECTIVE DISTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES, ASSIGNS AND AGENTS ("RELEASED PARTIES") FROM AND AGAINST ANY AND ALL ALLEGED AND/OR ACTUAL CLAIMS, CAUSES OF ACTION, DEMANDS, LOSSES, SETTLEMENTS (WHETHER OR NOT LITIGATION OR OTHER LEGAL PROCEEDINGS ARE COMMENCED), LIABILITIES AND DAMAGES OF ANY KIND WHATSOEVER EXISTING NOW OR ARISING IN THE FUTURE (INCLUDING, WITHOUT LIMITATION, AND PROPERTY DAMAGE, VIOLATION OF PROPRIETARY, PUBLICITY, PRIVACY OR ANY OTHER RIGHT), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES, COURT COSTS, SETTLEMENT AND DISBURSEMENTS) DIRECTLY OR INDIRECTLY ARISING OUT OF USE OF THE ENTRY IN WHOLE OR IN PART, THE ACCEPTANCE, POSSESSION, USE (OR INABILITY TO USE), MISDIRECTION, OR MISUSE OF A PRIZE OR ANY ELEMENT THEREOF, PARTICIPATION IN THE PROMOTION AND/OR PRIZE RELATED ACTIVITY, AND ACCESS/USE OF ALL WEBSITES, WHETHER OR NOT CAUSED BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES. To the fullest extent permitted by law, Entrants covenant not to sue any Released Party or cause them to be sued regarding any matter released above and further covenant not to disaffirm, limit or rescind these releases. A waiver by one or more of the Released Parties of any term in these Official Rules does not constitute a waiver of any other provision. Any invalid, illegal or unenforceable provision shall be deemed severed from these Official Rules only to the extent of its invalidity, illegality or unenforceability, and these Official Rules shall be construed and enforced as if they did not contain the stricken provision.
