Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between you (“You” or “ “Participant”) and The NPD Group, Inc., 900 West Shore Road, Port Washington, NY 11050 USA (“We” or "Sponsor") in relation to the SnapMyEats Program (the "Program") as further described in these Terms.

 

  1. Agreement To These Terms. Each time You access and/or use the Program, You agree to be bound by and comply with these Terms. Please read these Terms carefully before You participate. If You do not agree to these Terms, please do not participate in the Program. Please also read carefully the SnapMyEats Privacy Notice applicable to the Program.
     

  2. Change To Terms.  The Sponsor reserves the right to make changes to the Terms at any time.  Any changes to the Terms will be made by posting the updated Terms on the SnapMyEats mobile application (the "App"), as indicated by a new "Last Updated" date for the Terms. You accept changes by using the Program after We post the changes or, if applicable, by confirming acceptance of the updated Terms. You are responsible for checking the App for any updated Terms. Your use or continued use of the Program after any changes to the Terms are posted in the App and/or in a notification to You will indicate your agreement to such changes.
     

  3. Eligibility. The Program is only offered  to legal residents of the United Kingdom,  16 years of age and older, who have a valid and active email address, have downloaded to a smartphone the App from the App Store or Google Play Store and completed the Program registration ( "Participants"). Employees of the Sponsor, ConfirmIt ("Administrator"), and Virtual Incentives (“Reward Administrator”) and their respective related companies, parents, subsidiaries, affiliates, and agents and advertising or promotion agencies or members of the immediate family or household of each ("Program Entities") are not eligible to participate in the Program. For purposes of clarification, "immediate family" means parents, children, siblings and spouse, regardless of where they reside.

    How the Program Works
     

  4. Program Period. The Program is offered between 12:00 am 01 January 2020 Greenwich Meantime ("GMT") and 11:59 pm GMT 31 December 2020 ("Program Period"), unless otherwise extended or terminated, as provided herein in Sponsor's sole and absolute discretion. The Program consists of monthly participation periods, each beginning at or about 12:00 am GMT or British Summertime ("BST") (as applicable) on the first day of the applicable calendar month and ending at 11:59 pm GMT or BST (as applicable) on the last day of the same calendar month ("Monthly Period"). All time referenced herein is GMT or BST (as applicable) and the server clock of the Administrator shall be the official time-keeping device for all times applicable to the Program.
     

  5. Program Requirements. You must download the App, affirmatively opt-in to participate in the Program and complete a registration survey.  During each Monthly Period, to earn Credits that can be redeemed for gift cards in the online rewards store, You must submit Valid Receipts of your food and/or beverage purchases and answer a few short questions in connection with each Valid Receipt.  Messaging and data rates apply to internet access via mobile devices. Other charges may apply; check your mobile plan for rates/details.
     

  6. Participation. A registered Participant must access the SnapMyEats Receipt Survey within the SnapMyEats Mobile App to participate. Once in the Receipt Survey, Participants take digital pictures of receipts of their food and/or beverage purchases and answer a few short questions in connection with each receipt/purchase, then submit their responses during a Monthly Period during the Program Period. Each receipt may only be submitted one time and by one Participant. If something other than a receipt is submitted, or the receipt is deemed to be invalid for any reason, you will not receive credit for that submission.  A Valid Receipt is defined as a receipt that contains the following:

    1. at least one food and/or beverage item(s) purchased (to the extent itemized on the receipt), and price(s);

    2. the total cost of all items purchased;

    3. the name of the brick-and-mortar food/beverage retailer or restaurant located in the United Kingdom where the food or beverages were purchased; and

    4. dated on or within seven (7) days of submitting it in the App.
       

  7. Reward.

    1. For every three (3) Valid Receipts submitted during a Monthly Period, You will receive one credit (“Credit”).  Once You accumulate a minimum of ten (10) Credits, You can exchange your Credits for Rewards (see definition below).  Each Credit can be exchanged for the equivalent of £1 worth of Rewards.  However, Credits have no cash value and cannot be exchanged for cash. Participants can earn a maximum of five (5) Credits during each Monthly Period.  Once You accumulate a minimum of ten (10) Credits, please select the “Redeem” button, which appears on the first page of the App survey, and You will receive a reward link via email directing You to our Rewards Site.  On the Reward Site, You will be able to exchange your Credits for rewards of commensurate value ("Reward"). All Rewards on the Reward Site are subject to availability and will be made available on a first-come, first-served basis. The Reward Site may be updated from time to time as supplies of certain Rewards are exhausted and other Rewards are added.   Any Valid Receipts remaining at the end of a Monthly Period will NOT carry over into a subsequent Monthly Period and will be void. Please do not submit a receipt for alcohol beverage purchase(s) unless You have reached the legal drinking age in your applicable U.K. jurisdiction.










       

    2. All elements relating to this Program, including but not limited to, verification of Participants, participation, eligibility, compliance with the Terms, all submitted receipts, survey answers, materials and any other information or submissions reported or relating to or in connection with the Program, a Reward, or any element thereof in whole or in part (“Submission Materials”) are subject to Sponsor’s final review, determination, investigation and approval. Sponsor and Administrator are not responsible for Submission Materials that are unreported, lost, late, damaged, altered, destroyed, forged, tampered with, mutilated, incomprehensible, misdirected, undelivered, illegible, incompatible, incomplete, inaccurate, stolen or otherwise not in compliance with these Terms. The Sponsor accepts no responsibility for receipts not successfully submitted due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure, and will not accept proof of transmission.

    3. Submission Materials that are in Sponsor's reasonable opinion, in whole or in part, suspected of being, or are found to be duplicate, fraudulent, incomplete, ineligible, non-compliant or otherwise invalid will be void and not eligible towards a Credit . Participants may not include Submission Materials multiple times, with multiple identities, or email addresses, nor may Participants use any other device or artifice to obtain or redeem a Reward multiple times and/or to participate in the Program. Rewards, and the issuance thereof, and any other related information are subject to eligibility, receipt verification and compliance with these Terms,;  
       

  8. General Conditions.

    1. Sponsor reserves the right to modify, terminate or cancel the Program, or any element thereof at any time prior to the commencement of each Monthly Period without prior notice or liability, or at any time without prior notice or liability due to reasons beyond Sponsor's reasonable control, and reserves the absolute right to interpret the Terms. Any extension, modification or termination of the Program will be communicated on the App via a notification and posting updated Terms which  will be applicable to the Program and your participation in the Program from that time forward, as applicable.

    2. Participants acknowledge that by participating in the Program they will be submitting personal information to the Sponsor which is required in order to provide the Participant with their Reward. The Sponsor will process the personal information submitted in accordance with the Privacy Notice.

    3. If for any reason the Program, or any element thereof, is impaired, not capable of running as planned due to reasons beyond the Sponsor's reasonable control, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, cheating, bots/scripts, mechanical or other artifice, emergency maintenance, equipment failure, technical failures, a force majeure event, or any other causes similar or dissimilar which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Program, or any element thereof (as determined by Sponsor in its sole and absolute discretion), Sponsor reserves the right at its sole discretion to investigate the matter and where necessary rescind any/all Rewards which have been fraudulently obtained, to modify the Program or any element thereof in a manner that best conforms to the spirit of these Terms without suspending it, suspend the Program or any element thereof to address the impairment and then resume in a manner that best conforms to the spirit of these Terms, or cancel, terminate, modify or suspend the Program, or any part thereof. Without limitation, if any suspected attempt, directly or indirectly, by any individual, entity or Participant to use or benefit from the use of mechanical artifice, robotic, repetitive, automatic, bots/scripts, programmed or similar participation or other methods or agents occurs, then Sponsor may, in its sole discretion, immediately remove the Participant from the Program, and invalidate and rescind Rewards of such individual(s) suspected of engaging in or benefiting from such methods, and the subject Participant will be disqualified from the Program permanently, require immediate refund or forfeiture of any Reward paid and/or accrued during the Program Period and Sponsor reserves the right to pursue legal proceedings against such Participant. Further, if Sponsor suspects that any Participant, participation, information or Submission Materials submitted by or on behalf of any Participant is or is suspected of being duplicate, false, inaccurate, fraudulent, tampered with, or otherwise invalid, then Sponsor may, in its sole discretion, take same or similar measures as referenced above. Submitting false claims for Program Rewards may subject the Participant to civil liability or criminal prosecution.
       

  9. Taxes.  Participant acknowledges s/he are solely responsible for payment of all applicable taxes and compliance with reporting requirements in her/his jurisdiction to HM Revenue and Customs (HMRC), if necessary; Sponsor assumes no liability or responsibility therefor.  Sponsor will comply with applicable reporting requirements of HMRC, as required by law.
     

  10. Limitations of Liability.

    1. Nothing in these Terms excludes or limits the Sponsor's liability for death or personal injury arising from the Sponsor's negligence, or its fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

    2. The material displayed on the App is provided without any guarantees, conditions or warranties as to its accuracy. You must bear the risks associated with the use of the App, and the internet.

    3. To the fullest extent permitted by law, the Sponsor (including its officers, directors and employees) and other Program Entities (including any agents or sub-contractors) connected to it hereby expressly exclude:

      1. all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity in it provision of the use of the App; and

      2. any liability arising under or in connection with:

        1. use of, or inability to use, the App;

        2. use of or reliance on any content displayed on the App;

        3. incompatibility of the App with any of your electronic and/or mobile equipment, devices, software or telecommunications links; and

        4. unsuitability, unreliability or inaccuracy of the App.

    4. If We fail to comply with these Terms, We are responsible for loss or damage You suffer that is a foreseeable result of our with You or our failing to use reasonable care and skill, but We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or, if at the time these terms were accepted, both We and You knew it might happen. We only provide access to the App for domestic and private use. You agree not to use the App for any commercial, business or re-sale purposes and We have no liability to You for any loss of profit or revenue, loss of business, business interruption or loss of business opportunity.

    5. The Sponsor will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your electronic and/or mobile equipment, computer programs, data or other proprietary material due to your use of the App or to your downloading of any content on it, or on any website linked to it.

    6. Subject to this Section 10, the Sponsor’s total liability to You in connection with the Program and these Terms, however arising whether caused by tort (including negligence), breach of contract or otherwise, shall be limited to £50.
       

  11. Waiver.   A waiver by Sponsor of any provision in these Terms does not constitute a waiver of any other provision. If any provision is adjudged to be invalid it shall be struck from these Terms and the remainder of the Terms shall remain in full force and effect.
     

  12. Force Majeure.   Neither Sponsor, Administrator nor the Reward Administrator shall be liable to any Participant or any other person or entity for a breach of these Terms, failure to execute the Program or any part thereof, or supply a Reward in whole or in part, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid); technical failure; human error, equipment failure, terrorist acts, cyber-attacks, earthquake, war, fire, flood, explosion, unusually severe weather, embargo, lockout, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any similar or dissimilar event beyond their reasonable control.

  14. Arbitration/Applicable Law and Venue. These Terms, and any non-contractual obligations arising out of them, are governed and construed in accordance with the law of England and Wales and any proceedings resulting out of these Terms and any non-contractual obligations arising out of them, the Privacy Notice and/or the use of the App shall be held in the Courts of England and Wales.
